LinkedIn Economic Graph Challenge 
Terms and Conditions 
THIS CHALLENGE IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW. 
The LinkedIn Economic Graph Challenge (the “Challenge”) is governed by these terms and conditions (“Terms”). If you participate in the Challenge you are providing your full and unconditional agreement to and acceptance of these Terms, so it is important that you read and understand them prior to participating in the Challenge. 
Sponsor of this Challenge is LinkedIn Corporation, 2029 Stierlin Court, Mountain View, CA 94043. In these Terms, “LinkedIn”, “we”, “our”, and “us” refer to LinkedIn Corporation. “You” refers to an eligible Participant, including both individuals and teams. 
Odds of winning a prize (a “Research Award”) will depend on the number of eligible entries received, the quality of the entries, and the level of skill of the Participants. 
Answers to some frequently asked questions (FAQs) can be found at economicgraphchallenge.linkedin.com/faq/.

WHAT IS THE LINKEDIN ECONOMIC GRAPH CHALLENGE? 
The Economic Graph is LinkedIn’s vision of a digital mapping of the global economy. LinkedIn aims to include in the Economic Graph: 
 A profile for every one of the 3 billion members of the global workforce; 
 A profile for every company in the world; 
 Every job opportunity each company offers: full-time and temporary, for-pay or volunteer; 
 Every skill required for each profession; 
 A digital presence for every higher educational organization in the world; and 
 The ability to tap the publically shared professional expertise of individuals, companies and educational institutions. 
This Challenge is designed to solicit ideas and recognize the best proposal for creating positive economic opportunity for members of the global workforce. The intent and spirit of the Challenge is to encourage innovative economic development ideas that would benefit the
global workforce through use of data from LinkedIn that we determine is appropriate to make available in light of the winning proposals and our commitment to the privacy of our Members. 
WHAT DATA MAY BE ACCESSIBLE AND UNDER WHAT CONDITIONS? 
A few things you should know related to data: 
 No data from LinkedIn will be provided publicly as part of the Challenge. 
 If you are a winner of this Challenge (a “Research Award Recipient”), you may be given access to certain existing data from LinkedIn that we deem necessary to carry out your proposal. Certain sensitive data types won’t be provided under any circumstance (for example, email addresses or other contact information, private member communications or payment details). Data may be aggregated and/or de-identified in our discretion. 
 LinkedIn will not collect new data or run experiments or “A/B” tests on your behalf. 
 Any data that we allow you to access will be provided in a separate “sandbox” environment. You will be required to perform all research that uses data from LinkedIn on LinkedIn-issued equipment and networks exclusively. 
 You won’t be permitted to combine data from LinkedIn with external data sources without our review and permission. 
 You will be required to enter into a nondisclosure and intellectual property agreement with LinkedIn and you will not be permitted to publish the results of your research without our review and permission. 
 Any use of data from LinkedIn will be subject to our Privacy Policy, review by our security and legal teams, and controls designed to permit research while protecting the privacy of our members and the security of LinkedIn. 
WHEN WILL THE CHALLENGE TAKE PLACE? 
Registration opens and the Challenge begins at 9:00 am Pacific Time (PT) on October 14, 2014 and Entries must be received by LinkedIn by end of day (12:00 midnight) on December 15, 2014 (the “Challenge Period”). We may extend the Challenge Period in our sole discretion. Eligible individuals and team participants (each, a “Participant”) must register and submit their Challenge entry (each, an “Entry” and, together, the “Entries”) by the end of the Challenge Period. Late entries will be disqualified, and we will determine the timing of Entries in our sole discretion. The Challenge Research Award Recipient(s) will be announced on or about February 15, 2015. 
WHO IS ELIGIBLE TO ENTER THE CHALLENGE? 
You are eligible to participate in and enter the Challenge provided you meet the following requirements for the duration of the Challenge:
You and each of your team members must be: 
 At least 18 years old and the age of majority in your/his/her jurisdiction of residence. 
 A legal U.S. resident that resides in the U.S. for the duration of the Challenge. 
 An individual person. Corporations and other entities are not allowed to participate. 
You and your team members can’t be: 
 A current employee of LinkedIn or its related companies. 
 A current independent contractor or intern of LinkedIn. 
 An immediate family member (parent, sibling, spouse, or child) of or household member to an employee of LinkedIn. 
 Involved in any part of the creation, promotion, execution or administration of this Challenge. 
Before participating in the Challenge, you should also consider whether you or your team members have any conflicting obligations that prevent participation. If a Participant is an employee of a corporation, government or an academic institution, or enrolled as a student, it is his or her sole responsibility to review, understand and abide by his or her employer’s, or academic institution’s policies regarding eligibility to participate in the Challenge, fulfill the obligations asked of the Research Award Recipients and conduct the proposed research. If a Participant is found to be in violation of his or her employer’s or academic institution’s policies, then he or she will be disqualified from participating in the Challenge and from being awarded or retaining any Research Award. LinkedIn disclaims any and all liability or responsibility for disputes arising between an employee or student and his or her employer or academic institution related to the Challenge. 
In order to participate, Challenge Participants must be willing, if selected as Research Award Recipient:  To travel to LinkedIn at LinkedIn’s expense to participate in the Challenge Research Award Recipient reception in or about March 2015 and the Challenge research reception in or about October 2015.  To conduct their proposed research and execute their Entry proposal under the guidance of a LinkedIn collaborator.  To present their findings to a panel of LinkedIn executives and designees in or about October 2015.  Prior to being named a Research Award Recipient, to sign a LinkedIn nondisclosure and intellectual property agreement and agree not publish any research results related to the Challenge without LinkedIn’s prior written consent. Additionally, this agreement will contain terms related to the licensing and ownership of intellectual property created while conducting your research and working with your LinkedIn collaborator including a broad license granted to LinkedIn to any inventions or copyrightable works created by you or your team in carrying out your research proposal. You will not receive any rights to publish, display, distribute or collect any data from LinkedIn.
HOW DO YOU ENTER? 
During the Challenge Period, visit economicgraphchallenge.linkedin.com and register as instructed. You may register for the Challenge as an individual or as a team. In either case during registration you will be required to select or acknowledge a team name and designate or acknowledge a team leader. 
Participant information submitted to us will be collected in accordance with our Privacy Policy, which can be found at https://www.linkedin.com/legal/privacy-policy. 
If you are registering as a team: 
 Each team may have a maximum of five members. 
 You must submit the name and email address for each team member as well as the name of the team leader when registering for the Challenge. You will not be able to register your team without this information. You may be asked to submit optional information such as links to the LinkedIn profiles of your team members. 
 Each team member may be contacted by LinkedIn and required to confirm their participation. 
 You may not make changes to your team registration once accepted by LinkedIn. 
 Each team is solely responsible for its own cooperation and teamwork. In no event will LinkedIn officiate in any dispute between or among any team(s) or its/their members regarding their conduct, participation, cooperation or contribution. In the event that any dispute cannot be resolved, LinkedIn reserves the right in its sole discretion to make a determination as to the identity of team members or the team representative, and it may disqualify teams and/or team members in its sole discretion. 
 By participating, each team member agrees to abide by these Terms. 
WHAT ARE THE REQUIREMENTS FOR AN ENTRY? 
Each Entry must: 
 Be an idea or process designed to create positive economic opportunity and impact for members of the global workforce. 
 Be submitted via the form available on the Challenge website at economicgraphchallenge.linkedin.com/submit-your-proposal/ and comply with all applicable word counts and other requirements. 
 Be in English. 
 Not contain any third-party proprietary or confidential information or ideas. It is your responsibility to ensure that the Entry does not violate any third-party rights. 
 Be appropriate for all audiences. We will automatically disqualify any Participants that submit an Entry that proposes ideas or contain materials that we believe to be discriminatory, malicious, harmful, illegal, vulgar, offensive, or inappropriate, or that presents LinkedIn or our members in a negative light. We will also disqualify any Entries
that seek to use data (including data from LinkedIn) for any discriminatory purpose, including by using sensitive categories such as race, ethnicity, national origin, religion, age, health, sexual orientation, political opinions or membership in a trade union. 
By submitting an Entry, you: 
 Represent that you, your team and the Entry submitted comply with these Terms. 
 Represent that the entirety of the Entry is your/your team’s original work. 
 Represent that you/your team have obtained any and all consents, approvals, or licenses required for you to submit your Entry, and that your Entry (including the proposed research or testing) will not violate anyone else’s rights or the law. Agree that we have the right to verify the ownership and originality of all Entries and that, upon our request, you must submit a written copy of any release or permission you have received from a third party. Failure to provide such proof upon request, or if such proof fails to satisfy us in our sole discretion, will result in disqualification. 
 Understand and acknowledge that in the event your Entry is selected as a winning Entry, and your ownership, rights and the originality of the Entry cannot be verified to our satisfaction in our sole discretion or is in any other way ineligible, we may select an alternate Research Award Recipient based on the same judging criteria; 
We will disqualify, in our sole discretion, any Entry that we believe is incomplete, ineligible or not decipherable. We are not responsible for Entries that we do not receive for any reason. 
HOW MANY ENTRIES MAY YOU SUBMIT? 
One. You or your team may submit one Entry. You may not register to submit both individually and as part of a team, and individuals may only participate with one team. If more than one Entry is submitted, the second Entry submitted will be disqualified. 
HOW WILL ENTRIES BE JUDGED? 
Entries will be judged by a panel of LinkedIn-selected judges, which may include LinkedIn employees. Different judges may review and judge different Entries, and judges may change during judging. Entries will be judged to determine the best proposal to create positive economic opportunity and impact for members of the global workforce based on the following equally weighted criteria: 
 Novelty. This criterion will take into account the thoughtfulness and originality of the Entry, including the uniqueness of its approach to using the Economic Graph and data from LinkedIn. 
 Impact. This criterion will consider the potential benefits to the region, country and the world, as well as the extensibility of the proposal.
 Feasibility. This criterion will weigh the practicality of the submission, measuring the likelihood it can be researched and implemented within a reasonable time period and the types of data from LinkedIn that will be necessary for the proposed research. 
HOW WILL YOUR ENTRY BE USED? 
Other than what is set forth below, we are not claiming any rights to own or use your Entry. 
By submitting your Entry, you: 
 Are granting LinkedIn a non-exclusive, worldwide, transferable, and sublicenseable license to use, copy, modify, distribute, process and analyze your Entry and all its content in connection with this Challenge. Because you own your Entry and its content and we only have non-exclusive license to it, you may choose to make it available to others, including under the terms of a Creative Commons license. Additionally; we will get your consent before publishing your Entry or its contents; 
 Understand and acknowledge that we have no obligation to use any Entry or idea in any way; 
 Agree to sign any necessary documentation that may be required for us and our designees to make use of the rights you granted; 
 Understand and acknowledge that we or Participants may have developed or commissioned materials similar or identical to your Entry or may develop or commission materials similar or identical to your Entry in the future and you/your team waive any claims you may have resulting from any similarities to your Entry; 
 Understand that we cannot control the incoming information you will disclose to us or our representatives in the course of entering, or what we or our representatives will remember about your Entry. You also understand that we will not restrict work assignments of representatives who have had access to your Entry. By entering this Challenge, you agree that use of information in our representatives unaided memories in the development or deployment of our products or services does not create liability for us. You further understand that Participants may propose similar Entries, including a winning Entry that may be similar to one that you proposed and that neither LinkedIn or the other Participant will owe you compensation for use of such similar Entries; 
 Understand that you will not receive any compensation or credit from us for use of your Entry, other than what is described in these Terms. This provision does not limit any compensation you may receive through us or third parties as a result of your use or marketing or profiting from the application beyond this Challenge or as provided in these Terms. 
If you do not want to grant us these rights to your Entry, you may not enter this Challenge. 
WHAT WILL YOU BE AWARDED IF YOU WIN?
A winning team, or, if an Entry is submitted by an individual, a winning individual, will receive the following: 
 Cash: $25,000 cash Research Award; for a team Research Award Recipient, this cash Research Award will be distributed to the team leader, who shall have the responsibility for allocating it among team members. Approximate retail value (ARV) per winning Entry: $25,000. 
A winning team, or, if an Entry is submitted by an individual, a winning individual, may, in LinkedIn’s sole discretion, also receive the following: 
 Access to Economic Graph Data: If LinkedIn determines that Participant should conduct its proposed research, access to certain data from LinkedIn determined to be necessary for such proposal as determined by LinkedIn in its sole discretion for a period of between approximately March 2015 and October 2015 (the exact period to be determined by LinkedIn in its sole discretion to enable a Research Award Recipient to perform the research proposed in Participant’s Entry). 
 Assistance from LinkedIn: If LinkedIn determines that Participant should conduct its proposed research, access to a LinkedIn employee collaborator to assist in its research and preparation of its findings for presentation. The LinkedIn employee and amount of time provide by such employee shall be determined by us in our sole discretion. 
 Travel expenses to LinkedIn: Two trips for each team member (or an individual Research Award Recipient) to LinkedIn’s headquarters: one trip to participate in the Challenge Research Award Recipient reception in or about January 2015; and the other trip to participate in the Challenge research reception and to present their findings to a panel of LinkedIn executives and designees in or about August 2015. 
ARV per Research Award of the access, assistance and travel: up to $10,000 per winning Entry, depending on number of team members and distance travelled. 
Travel Research Award will include return/economy air transportation from the major commercial airport closest to Research Award Recipient’s residence to the San Francisco Bay Area, standard-class, shared accommodation (exact location to be determined by Sponsor) for the travel period, meals, and ground transportation to/from the airport. 
Trip must be taken on dates required by Sponsor. If a Research Award Recipient cannot travel on the dates specified, an alternative Research Award Recipient (individual or team) may be selected. All travel arrangements must be made through a travel agent selected by Sponsor. If a Research Award Recipient lives within a 200-mile radius of the destination, Research Award will not include the air-transportation portion of the Research Award. Research Award Recipient will be responsible for all gratuities, additional food and beverages, additional ground transportation, fees, taxes, and any other incidental costs or expenses not identified in these rules. All tickets and accommodations are subject to the vagaries of schedule variation, work stoppages, and schedule changes.
A RESEARCH AWARD RECIPIENT MUST BE AWARE THAT USE OF THE TRAVEL RESEARCH AWARD CAN BE HAZARDOUS AND CAN PRESENT UNUSUAL RISKS OF DEATH, SERIOUS ILLNESS AND INJURY, AND PROPERTY DAMAGE. EACH RESEARCH AWARD RECIPIENT PARTICIPATES IN USE OF THE RESEARCH AWARD WITH KNOWLEDGE OF THE DANGER INVOLVED. 
TAXES, IF ANY, RELATED TO ANY RESEARCH AWARD ARE THE RESPONSIBILITY OF THE RESEARCH AWARD RECIPIENT. 
We reserve the right to name additional Research Award Recipients or award additional Research Awards or change the Research Awards, at our sole discretion, provided that the value of the Research Awards specified here shall not decrease. No substitution, assignment or transfer of the Research Award is permitted, except by us. We have the right to substitute a Research Award with another award or prize of comparable or greater value. 
WHAT ADDITIONAL CONDITIONS ARE THERE FOR RESEARCH AWARD RECIPIENTS AND RESEARCH AWARDS? 
If you or your team is confirmed as a potential Research Award Recipient, to be named as Research Award Recipient you agree that: 
 You may not designate someone else or another team as the Research Award Recipient. 
 You agree to provide LinkedIn with the legal name, address, and social security number/tax ID as well as other information requested for tax reporting purposes, of each Participant. 
 If you/your team accepts a Research Award, you and each team member agrees to self- report to applicable taxing authorities, as may be required by applicable laws, and will be solely responsible for all applicable taxes and costs related to accepting and using the Research Award. 
 You and any team members will, if requested by LinkedIn, execute your proposal under the guidance of the assigned LinkedIn employee collaborator, and you will communicate, no less than on a monthly basis, with such collaborator about your research progress and issues. 
 You and any team members will sign a LinkedIn nondisclosure and intellectual property agreement acceptable to LinkedIn prior to being named Research Award Recipient.  We may publish your name, the names of your team members, and the title of your Entry in connection with the Challenge.  You will assist us and our representatives in the creation of promotional materials, case studies or white papers (together "Studies") detailing or relating to your Entry. The Studies may take various forms, including printed materials, online articles, video, audio, and other digital recordings. 
 We may require you and your team members to sign an Affidavit of Eligibility, Liability and Publicity Release and applicable tax form and if you do not complete the required
forms as instructed and/or return the required forms within the time periods indicated as part of any Research Award Recipient notification, we may disqualify you and your entire team. 
 We may perform (or use a third-party contractor to perform) a background check on potential Research Award Recipients. Entry in the Challenge constitutes your authorization to conduct a background check. To the extent additional authorization is necessary under law, Participant will be required to provide such authorization. LinkedIn reserves the right (in its sole discretion) to disqualify any Participant based on refusal to provide additional information or authorization or the results of the background check. You and any team members agree not disclose or publish any research results related to the Challenge without LinkedIn’s prior written consent. All research completed by a Research Award Recipient will be subject to review by us before it may be published or shared. 
 You must return any LinkedIn-provided hardware, software and data in the condition provided without making any duplicates or copies. 
Research Award monies should be retained by individuals only in conformity with any applicable policies of his or her employers, academic institutions, or government regarding participation in and receipt of promotional consideration relating to the Challenge and receipt and retention of Research Awards. If a government, employer’s or school’s policies are applicable, it is the Participant’s sole and ultimate responsibility, in consultation with his or her government, employer or school, to determine how and if any Research Award will be retained and/or distributed and accounted for and we assume no responsibility for the decisions made by such government, employers or schools regarding this issue. 
NOTIFICATION: 
All notifications we attempt to make to you/your team are subject to the following conditions: 
 If there is a dispute as to the identity of a particular Participant, we will consider the Participant to be the authorized account holder of the email provided at time of sign up. If a dispute as to the identity of a particular Participant continues, LinkedIn reserves the right to make a final determination in its sole discretion as to the identity of a Participant. 
 If the notification that we send is returned undeliverable, or you are otherwise unreachable, we may disqualify your team and extend an invitation to the next highest- scoring Participant. 
ARE THERE OTHER TERMS AND CONDITIONS YOU ARE AGREEING TO? 
By entering this Challenge you agree: 
 To abide by the Terms;
 To release and hold harmless LinkedIn, and its respective parents, subsidiaries, affiliates, employees and agents from any and all liability or any injury, loss or damage of any kind arising from or in connection with this Challenge and its promotion, or any Research Award awarded; 
 That our decisions will be final and binding on all matters related to this Challenge, including access to data; 
 We reserve the right to modify these Terms at our sole discretion, including the duration of the Challenge Period and the number of Research Award Recipients. 
 To contact us prior to promoting or publicizing your participation in and, if applicable, winning the Challenge; and 
 To not use or display any the LinkedIn trademark (including any logo or brand) without our prior written permission; 
 We may contract third-party vendors to assist and provide services related to the Challenge; as a result Participants may be asked to agree to third-party terms and conditions and must abide by any such terms and conditions; 
 That (1) any and all disputes, claims, and causes of action arising out of or connected with the Challenge, or any benefits received, or the administration of the Challenge not resolved through internal adjudication shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, to take place in Santa Clara County in the State of California pursuant to the Rules of the American Arbitration Association, then effective, (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Challenge and in no event shall Participant be entitled to receive attorneys’ fees or other legal costs; and (3) under no circumstances will a Participant be permitted to obtain awards for and Participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased; 
 LINKEDIN, ITS PARTNERS AND THEIR SUBSIDIARIES, AFFILIATED COMPANIES AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS (COLLECTIVELY, THE "RELEASED PARTIES") EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OR CONDITIONS OF ANY KIND (WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE), INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON- INFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL RELEASED PARTIES BE HELD RESPONSIBLE OR LIABLE FOR THEIR OR A PARTICIPANT’S USE OF THE INFORMATION
PROVIDED AND/OR MADE AVAILABLE THROUGH THE CHALLENGE OR FOR ERRORS OR ANOMALIES RESULTING IN THE UNINTENDED OR ERRONEOUS PARTICIPATION, AWARD OF CHALLENGE RESEARCH AWARD OR OTHER BENEFITS UNDER THE CHALLENGE TO PARTICIPANTS. RELEASED PARTIES OFFER NO ASSURANCES, GUARANTEES OR WARRANTIES OR CONDITIONS THAT THE CHALLENGE WILL BE UNINTERRUPTED OR ERROR-FREE AND DO NOT GUARANTEE THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE CHALLENGE. RELEASED PARTIES ASSUME NO RESPONSIBILITY FOR ANY COMPUTER-RELATED DAMAGES DUE TO DOWNLOADING MATERIALS. RELEASED PARTIES WILL NOT BE LIABLE, AND ARE NOT RESPONSIBLE, FOR DAMAGES OF ANY KIND RELATED TO A PARTICIPANT’S PARTICIPATION OR INABILITY TO PARTICIPATE IN THE CHALLENGE, WHETHER THE DAMAGES ARE DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL. FURTHER, BY PARTICIPATING IN THE CHALLENGE AND/OR ACCEPTING A RESEARCH AWARD, PARTICIPANT AGREES THAT RELEASED PARTIES SHALL NOT BE LIABLE FOR, AND WILL BE HELD HARMLESS BY PARTICIPANT AGAINST, ANY LIABILITY FOR ANY DAMAGE, INJURY OR LOSS TO PERSON (INCLUDING DEATH) OR PROPERTY DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, TO ACCEPTANCE, POSSESSION, USE OR MISUSE OF RESEARCH AWARD, PARTICIPATION IN ANY CHALLENGE-RELATED ACTIVITY, RELEASED PARTIES’ USE OF ANY ENTRY OR PARTICIPATION IN THIS CHALLENGE; and 
 Participants also agree to release, defend, indemnify and hold harmless Released Parties from and against, and accept all responsibility of any kind, including but not limited to financial, for any liability, claims, losses, damages or proceedings, including but not limited for death, and including reasonable attorneys’ fees, relating to any actions taken by a Participant, including submission of Entries, or anyone else using a Participant’s email or team password or otherwise purporting to act on Participant’s behalf in regard to the Challenge (whether or not such use occurred with or without your permission). 
WHAT LAWS GOVERN? 
This Challenge will be governed by the laws of the State of California, without reference to its conflicts of laws principles. 
WHAT IF SOMETHING UNEXPECTED HAPPENS? 
If someone cheats, or a virus, bug, bot, catastrophic event, or any other unforeseen or unexpected action or event affects the fairness and/or integrity of this Challenge, we reserve the right to cancel, change, or suspend this Challenge. This right is reserved whether the event is due to human or technical error. If a solution cannot be found to restore the integrity of the Challenge, we reserve the right, but are not required, to select Research Award Recipient(s) from among all eligible Entries received before we had to cancel, change or suspend the Challenge.
If you or your team attempts to compromise the integrity or the legitimate operation of this Challenge, or if we have reason to believe that you or your team have compromised the integrity or the legitimate operation of this Challenge, including by cheating or committing fraud in any way, we may seek damages from you to the fullest extent permitted by law. Further, we may disqualify you, and ban you from participating in any of our future contests and promotions. 
HOW CAN YOU FIND OUT WHO WON? 
A full list of all Research Award Recipients will be published on economicgraphchallenge.linkedin.com on or about March 1, 2015. LinkedIn Economic Graph Challenge Rules

  • 1. LinkedIn Economic Graph Challenge Terms and Conditions THIS CHALLENGE IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW. The LinkedIn Economic Graph Challenge (the “Challenge”) is governed by these terms and conditions (“Terms”). If you participate in the Challenge you are providing your full and unconditional agreement to and acceptance of these Terms, so it is important that you read and understand them prior to participating in the Challenge. Sponsor of this Challenge is LinkedIn Corporation, 2029 Stierlin Court, Mountain View, CA 94043. In these Terms, “LinkedIn”, “we”, “our”, and “us” refer to LinkedIn Corporation. “You” refers to an eligible Participant, including both individuals and teams. Odds of winning a prize (a “Research Award”) will depend on the number of eligible entries received, the quality of the entries, and the level of skill of the Participants. Answers to some frequently asked questions (FAQs) can be found at economicgraphchallenge.linkedin.com/faq/. All other questions regarding this Challenge or these Terms should be sent by email to economicgraphchallenge@linkedin.com. WHAT IS THE LINKEDIN ECONOMIC GRAPH CHALLENGE? The Economic Graph is LinkedIn’s vision of a digital mapping of the global economy. LinkedIn aims to include in the Economic Graph:  A profile for every one of the 3 billion members of the global workforce;  A profile for every company in the world;  Every job opportunity each company offers: full-time and temporary, for-pay or volunteer;  Every skill required for each profession;  A digital presence for every higher educational organization in the world; and  The ability to tap the publically shared professional expertise of individuals, companies and educational institutions. This Challenge is designed to solicit ideas and recognize the best proposal for creating positive economic opportunity for members of the global workforce. The intent and spirit of the Challenge is to encourage innovative economic development ideas that would benefit the
  • 2. global workforce through use of data from LinkedIn that we determine is appropriate to make available in light of the winning proposals and our commitment to the privacy of our Members. WHAT DATA MAY BE ACCESSIBLE AND UNDER WHAT CONDITIONS? A few things you should know related to data:  No data from LinkedIn will be provided publicly as part of the Challenge.  If you are a winner of this Challenge (a “Research Award Recipient”), you may be given access to certain existing data from LinkedIn that we deem necessary to carry out your proposal. Certain sensitive data types won’t be provided under any circumstance (for example, email addresses or other contact information, private member communications or payment details). Data may be aggregated and/or de-identified in our discretion.  LinkedIn will not collect new data or run experiments or “A/B” tests on your behalf.  Any data that we allow you to access will be provided in a separate “sandbox” environment. You will be required to perform all research that uses data from LinkedIn on LinkedIn-issued equipment and networks exclusively.  You won’t be permitted to combine data from LinkedIn with external data sources without our review and permission.  You will be required to enter into a nondisclosure and intellectual property agreement with LinkedIn and you will not be permitted to publish the results of your research without our review and permission.  Any use of data from LinkedIn will be subject to our Privacy Policy, review by our security and legal teams, and controls designed to permit research while protecting the privacy of our members and the security of LinkedIn. WHEN WILL THE CHALLENGE TAKE PLACE? Registration opens and the Challenge begins at 9:00 am Pacific Time (PT) on October 14, 2014 and Entries must be received by LinkedIn by end of day (12:00 midnight) on December 15, 2014 (the “Challenge Period”). We may extend the Challenge Period in our sole discretion. Eligible individuals and team participants (each, a “Participant”) must register and submit their Challenge entry (each, an “Entry” and, together, the “Entries”) by the end of the Challenge Period. Late entries will be disqualified, and we will determine the timing of Entries in our sole discretion. The Challenge Research Award Recipient(s) will be announced on or about February 15, 2015. WHO IS ELIGIBLE TO ENTER THE CHALLENGE? You are eligible to participate in and enter the Challenge provided you meet the following requirements for the duration of the Challenge:

You and each of your team members must be:  At least 18 years old and the age of majority in your/his/her jurisdiction of residence.  A legal U.S. resident that resides in the U.S. for the duration of the Challenge.  An individual person. Corporations and other entities are not allowed to participate. You and your team members can’t be:  A current employee of LinkedIn or its related companies.  A current independent contractor or intern of LinkedIn.  An immediate family member (parent, sibling, spouse, or child) of or household member to an employee of LinkedIn.  Involved in any part of the creation, promotion, execution or administration of this Challenge. Before participating in the Challenge, you should also consider whether you or your team members have any conflicting obligations that prevent participation. If a Participant is an employee of a corporation, government or an academic institution, or enrolled as a student, it is his or her sole responsibility to review, understand and abide by his or her employer’s, or academic institution’s policies regarding eligibility to participate in the Challenge, fulfill the obligations asked of the Research Award Recipients and conduct the proposed research. If a Participant is found to be in violation of his or her employer’s or academic institution’s policies, then he or she will be disqualified from participating in the Challenge and from being awarded or retaining any Research Award. LinkedIn disclaims any and all liability or responsibility for disputes arising between an employee or student and his or her employer or academic institution related to the Challenge. In order to participate, Challenge Participants must be willing, if selected as Research Award Recipient:  To travel to LinkedIn at LinkedIn’s expense to participate in the Challenge Research Award Recipient reception in or about March 2015 and the Challenge research reception in or about October 2015.  To conduct their proposed research and execute their Entry proposal under the guidance of a LinkedIn collaborator.  To present their findings to a panel of LinkedIn executives and designees in or about October 2015.  Prior to being named a Research Award Recipient, to sign a LinkedIn nondisclosure and intellectual property agreement and agree not publish any research results related to the Challenge without LinkedIn’s prior written consent. Additionally, this agreement will contain terms related to the licensing and ownership of intellectual property created while conducting your research and working with your LinkedIn collaborator including a broad license granted to LinkedIn to any inventions or copyrightable works created by you or your team in carrying out your research proposal. You will not receive any rights to publish, display, distribute or collect any data from LinkedIn.
  • 4. HOW DO YOU ENTER? During the Challenge Period, visit economicgraphchallenge.linkedin.com and register as instructed. You may register for the Challenge as an individual or as a team. In either case during registration you will be required to select or acknowledge a team name and designate or acknowledge a team leader. Participant information submitted to us will be collected in accordance with our Privacy Policy, which can be found at https://www.linkedin.com/legal/privacy-policy. If you are registering as a team:  Each team may have a maximum of five members.  You must submit the name and email address for each team member as well as the name of the team leader when registering for the Challenge. You will not be able to register your team without this information. You may be asked to submit optional information such as links to the LinkedIn profiles of your team members.  Each team member may be contacted by LinkedIn and required to confirm their participation.  You may not make changes to your team registration once accepted by LinkedIn.  Each team is solely responsible for its own cooperation and teamwork. In no event will LinkedIn officiate in any dispute between or among any team(s) or its/their members regarding their conduct, participation, cooperation or contribution. In the event that any dispute cannot be resolved, LinkedIn reserves the right in its sole discretion to make a determination as to the identity of team members or the team representative, and it may disqualify teams and/or team members in its sole discretion.  By participating, each team member agrees to abide by these Terms. WHAT ARE THE REQUIREMENTS FOR AN ENTRY? Each Entry must:  Be an idea or process designed to create positive economic opportunity and impact for members of the global workforce.  Be submitted via the form available on the Challenge website at economicgraphchallenge.linkedin.com/submit-your-proposal/ and comply with all applicable word counts and other requirements.  Be in English.  Not contain any third-party proprietary or confidential information or ideas. It is your responsibility to ensure that the Entry does not violate any third-party rights.  Be appropriate for all audiences. We will automatically disqualify any Participants that submit an Entry that proposes ideas or contain materials that we believe to be discriminatory, malicious, harmful, illegal, vulgar, offensive, or inappropriate, or that presents LinkedIn or our members in a negative light. We will also disqualify any Entries
  • 5. that seek to use data (including data from LinkedIn) for any discriminatory purpose, including by using sensitive categories such as race, ethnicity, national origin, religion, age, health, sexual orientation, political opinions or membership in a trade union. By submitting an Entry, you:  Represent that you, your team and the Entry submitted comply with these Terms.  Represent that the entirety of the Entry is your/your team’s original work.  Represent that you/your team have obtained any and all consents, approvals, or licenses required for you to submit your Entry, and that your Entry (including the proposed research or testing) will not violate anyone else’s rights or the law. Agree that we have the right to verify the ownership and originality of all Entries and that, upon our request, you must submit a written copy of any release or permission you have received from a third party. Failure to provide such proof upon request, or if such proof fails to satisfy us in our sole discretion, will result in disqualification.  Understand and acknowledge that in the event your Entry is selected as a winning Entry, and your ownership, rights and the originality of the Entry cannot be verified to our satisfaction in our sole discretion or is in any other way ineligible, we may select an alternate Research Award Recipient based on the same judging criteria; We will disqualify, in our sole discretion, any Entry that we believe is incomplete, ineligible or not decipherable. We are not responsible for Entries that we do not receive for any reason. HOW MANY ENTRIES MAY YOU SUBMIT? One. You or your team may submit one Entry. You may not register to submit both individually and as part of a team, and individuals may only participate with one team. If more than one Entry is submitted, the second Entry submitted will be disqualified. HOW WILL ENTRIES BE JUDGED? Entries will be judged by a panel of LinkedIn-selected judges, which may include LinkedIn employees. Different judges may review and judge different Entries, and judges may change during judging. Entries will be judged to determine the best proposal to create positive economic opportunity and impact for members of the global workforce based on the following equally weighted criteria:  Novelty. This criterion will take into account the thoughtfulness and originality of the Entry, including the uniqueness of its approach to using the Economic Graph and data from LinkedIn.  Impact. This criterion will consider the potential benefits to the region, country and the world, as well as the extensibility of the proposal.
  • 6.  Feasibility. This criterion will weigh the practicality of the submission, measuring the likelihood it can be researched and implemented within a reasonable time period and the types of data from LinkedIn that will be necessary for the proposed research. HOW WILL YOUR ENTRY BE USED? Other than what is set forth below, we are not claiming any rights to own or use your Entry. By submitting your Entry, you:  Are granting LinkedIn a non-exclusive, worldwide, transferable, and sublicenseable license to use, copy, modify, distribute, process and analyze your Entry and all its content in connection with this Challenge. Because you own your Entry and its content and we only have non-exclusive license to it, you may choose to make it available to others, including under the terms of a Creative Commons license. Additionally; we will get your consent before publishing your Entry or its contents;  Understand and acknowledge that we have no obligation to use any Entry or idea in any way;  Agree to sign any necessary documentation that may be required for us and our designees to make use of the rights you granted;  Understand and acknowledge that we or Participants may have developed or commissioned materials similar or identical to your Entry or may develop or commission materials similar or identical to your Entry in the future and you/your team waive any claims you may have resulting from any similarities to your Entry;  Understand that we cannot control the incoming information you will disclose to us or our representatives in the course of entering, or what we or our representatives will remember about your Entry. You also understand that we will not restrict work assignments of representatives who have had access to your Entry. By entering this Challenge, you agree that use of information in our representatives unaided memories in the development or deployment of our products or services does not create liability for us. You further understand that Participants may propose similar Entries, including a winning Entry that may be similar to one that you proposed and that neither LinkedIn or the other Participant will owe you compensation for use of such similar Entries;  Understand that you will not receive any compensation or credit from us for use of your Entry, other than what is described in these Terms. This provision does not limit any compensation you may receive through us or third parties as a result of your use or marketing or profiting from the application beyond this Challenge or as provided in these Terms. If you do not want to grant us these rights to your Entry, you may not enter this Challenge. WHAT WILL YOU BE AWARDED IF YOU WIN?
  • 7. A winning team, or, if an Entry is submitted by an individual, a winning individual, will receive the following:  Cash: $25,000 cash Research Award; for a team Research Award Recipient, this cash Research Award will be distributed to the team leader, who shall have the responsibility for allocating it among team members. Approximate retail value (ARV) per winning Entry: $25,000. A winning team, or, if an Entry is submitted by an individual, a winning individual, may, in LinkedIn’s sole discretion, also receive the following:  Access to Economic Graph Data: If LinkedIn determines that Participant should conduct its proposed research, access to certain data from LinkedIn determined to be necessary for such proposal as determined by LinkedIn in its sole discretion for a period of between approximately March 2015 and October 2015 (the exact period to be determined by LinkedIn in its sole discretion to enable a Research Award Recipient to perform the research proposed in Participant’s Entry).  Assistance from LinkedIn: If LinkedIn determines that Participant should conduct its proposed research, access to a LinkedIn employee collaborator to assist in its research and preparation of its findings for presentation. The LinkedIn employee and amount of time provide by such employee shall be determined by us in our sole discretion.  Travel expenses to LinkedIn: Two trips for each team member (or an individual Research Award Recipient) to LinkedIn’s headquarters: one trip to participate in the Challenge Research Award Recipient reception in or about January 2015; and the other trip to participate in the Challenge research reception and to present their findings to a panel of LinkedIn executives and designees in or about August 2015. ARV per Research Award of the access, assistance and travel: up to $10,000 per winning Entry, depending on number of team members and distance travelled. Travel Research Award will include return/economy air transportation from the major commercial airport closest to Research Award Recipient’s residence to the San Francisco Bay Area, standard-class, shared accommodation (exact location to be determined by Sponsor) for the travel period, meals, and ground transportation to/from the airport. Trip must be taken on dates required by Sponsor. If a Research Award Recipient cannot travel on the dates specified, an alternative Research Award Recipient (individual or team) may be selected. All travel arrangements must be made through a travel agent selected by Sponsor. If a Research Award Recipient lives within a 200-mile radius of the destination, Research Award will not include the air-transportation portion of the Research Award. Research Award Recipient will be responsible for all gratuities, additional food and beverages, additional ground transportation, fees, taxes, and any other incidental costs or expenses not identified in these rules. All tickets and accommodations are subject to the vagaries of schedule variation, work stoppages, and schedule changes.
  • 8. A RESEARCH AWARD RECIPIENT MUST BE AWARE THAT USE OF THE TRAVEL RESEARCH AWARD CAN BE HAZARDOUS AND CAN PRESENT UNUSUAL RISKS OF DEATH, SERIOUS ILLNESS AND INJURY, AND PROPERTY DAMAGE. EACH RESEARCH AWARD RECIPIENT PARTICIPATES IN USE OF THE RESEARCH AWARD WITH KNOWLEDGE OF THE DANGER INVOLVED. TAXES, IF ANY, RELATED TO ANY RESEARCH AWARD ARE THE RESPONSIBILITY OF THE RESEARCH AWARD RECIPIENT. We reserve the right to name additional Research Award Recipients or award additional Research Awards or change the Research Awards, at our sole discretion, provided that the value of the Research Awards specified here shall not decrease. No substitution, assignment or transfer of the Research Award is permitted, except by us. We have the right to substitute a Research Award with another award or prize of comparable or greater value. WHAT ADDITIONAL CONDITIONS ARE THERE FOR RESEARCH AWARD RECIPIENTS AND RESEARCH AWARDS? If you or your team is confirmed as a potential Research Award Recipient, to be named as Research Award Recipient you agree that:  You may not designate someone else or another team as the Research Award Recipient.  You agree to provide LinkedIn with the legal name, address, and social security number/tax ID as well as other information requested for tax reporting purposes, of each Participant.  If you/your team accepts a Research Award, you and each team member agrees to self- report to applicable taxing authorities, as may be required by applicable laws, and will be solely responsible for all applicable taxes and costs related to accepting and using the Research Award.  You and any team members will, if requested by LinkedIn, execute your proposal under the guidance of the assigned LinkedIn employee collaborator, and you will communicate, no less than on a monthly basis, with such collaborator about your research progress and issues.  You and any team members will sign a LinkedIn nondisclosure and intellectual property agreement acceptable to LinkedIn prior to being named Research Award Recipient.  We may publish your name, the names of your team members, and the title of your Entry in connection with the Challenge.  You will assist us and our representatives in the creation of promotional materials, case studies or white papers (together "Studies") detailing or relating to your Entry. The Studies may take various forms, including printed materials, online articles, video, audio, and other digital recordings.  We may require you and your team members to sign an Affidavit of Eligibility, Liability and Publicity Release and applicable tax form and if you do not complete the required
  • 9. forms as instructed and/or return the required forms within the time periods indicated as part of any Research Award Recipient notification, we may disqualify you and your entire team.  We may perform (or use a third-party contractor to perform) a background check on potential Research Award Recipients. Entry in the Challenge constitutes your authorization to conduct a background check. To the extent additional authorization is necessary under law, Participant will be required to provide such authorization. LinkedIn reserves the right (in its sole discretion) to disqualify any Participant based on refusal to provide additional information or authorization or the results of the background check. You and any team members agree not disclose or publish any research results related to the Challenge without LinkedIn’s prior written consent. All research completed by a Research Award Recipient will be subject to review by us before it may be published or shared.  You must return any LinkedIn-provided hardware, software and data in the condition provided without making any duplicates or copies. Research Award monies should be retained by individuals only in conformity with any applicable policies of his or her employers, academic institutions, or government regarding participation in and receipt of promotional consideration relating to the Challenge and receipt and retention of Research Awards. If a government, employer’s or school’s policies are applicable, it is the Participant’s sole and ultimate responsibility, in consultation with his or her government, employer or school, to determine how and if any Research Award will be retained and/or distributed and accounted for and we assume no responsibility for the decisions made by such government, employers or schools regarding this issue. NOTIFICATION: All notifications we attempt to make to you/your team are subject to the following conditions:  If there is a dispute as to the identity of a particular Participant, we will consider the Participant to be the authorized account holder of the email provided at time of sign up. If a dispute as to the identity of a particular Participant continues, LinkedIn reserves the right to make a final determination in its sole discretion as to the identity of a Participant.  If the notification that we send is returned undeliverable, or you are otherwise unreachable, we may disqualify your team and extend an invitation to the next highest- scoring Participant. ARE THERE OTHER TERMS AND CONDITIONS YOU ARE AGREEING TO? By entering this Challenge you agree:  To abide by the Terms;
  • 10.  To release and hold harmless LinkedIn, and its respective parents, subsidiaries, affiliates, employees and agents from any and all liability or any injury, loss or damage of any kind arising from or in connection with this Challenge and its promotion, or any Research Award awarded;  That our decisions will be final and binding on all matters related to this Challenge, including access to data;  We reserve the right to modify these Terms at our sole discretion, including the duration of the Challenge Period and the number of Research Award Recipients.  To contact us prior to promoting or publicizing your participation in and, if applicable, winning the Challenge; and  To not use or display any the LinkedIn trademark (including any logo or brand) without our prior written permission;  We may contract third-party vendors to assist and provide services related to the Challenge; as a result Participants may be asked to agree to third-party terms and conditions and must abide by any such terms and conditions;  That (1) any and all disputes, claims, and causes of action arising out of or connected with the Challenge, or any benefits received, or the administration of the Challenge not resolved through internal adjudication shall be resolved individually, without resort to any form of class action, and exclusively by arbitration, to take place in Santa Clara County in the State of California pursuant to the Rules of the American Arbitration Association, then effective, (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Challenge and in no event shall Participant be entitled to receive attorneys’ fees or other legal costs; and (3) under no circumstances will a Participant be permitted to obtain awards for and Participants hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased;  LINKEDIN, ITS PARTNERS AND THEIR SUBSIDIARIES, AFFILIATED COMPANIES AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS (COLLECTIVELY, THE "RELEASED PARTIES") EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES OR CONDITIONS OF ANY KIND (WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE), INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON- INFRINGEMENT. UNDER NO CIRCUMSTANCES SHALL RELEASED PARTIES BE HELD RESPONSIBLE OR LIABLE FOR THEIR OR A PARTICIPANT’S USE OF THE INFORMATION

PROVIDED AND/OR MADE AVAILABLE THROUGH THE CHALLENGE OR FOR ERRORS OR ANOMALIES RESULTING IN THE UNINTENDED OR ERRONEOUS PARTICIPATION, AWARD OF CHALLENGE RESEARCH AWARD OR OTHER BENEFITS UNDER THE CHALLENGE TO PARTICIPANTS. RELEASED PARTIES OFFER NO ASSURANCES, GUARANTEES OR WARRANTIES OR CONDITIONS THAT THE CHALLENGE WILL BE UNINTERRUPTED OR ERROR-FREE AND DO NOT GUARANTEE THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE CHALLENGE. RELEASED PARTIES ASSUME NO RESPONSIBILITY FOR ANY COMPUTER-RELATED DAMAGES DUE TO DOWNLOADING MATERIALS. RELEASED PARTIES WILL NOT BE LIABLE, AND ARE NOT RESPONSIBLE, FOR DAMAGES OF ANY KIND RELATED TO A PARTICIPANT’S PARTICIPATION OR INABILITY TO PARTICIPATE IN THE CHALLENGE, WHETHER THE DAMAGES ARE DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL. FURTHER, BY PARTICIPATING IN THE CHALLENGE AND/OR ACCEPTING A RESEARCH AWARD, PARTICIPANT AGREES THAT RELEASED PARTIES SHALL NOT BE LIABLE FOR, AND WILL BE HELD HARMLESS BY PARTICIPANT AGAINST, ANY LIABILITY FOR ANY DAMAGE, INJURY OR LOSS TO PERSON (INCLUDING DEATH) OR PROPERTY DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, TO ACCEPTANCE, POSSESSION, USE OR MISUSE OF RESEARCH AWARD, PARTICIPATION IN ANY CHALLENGE-RELATED ACTIVITY, RELEASED PARTIES’ USE OF ANY ENTRY OR PARTICIPATION IN THIS CHALLENGE; and  Participants also agree to release, defend, indemnify and hold harmless Released Parties from and against, and accept all responsibility of any kind, including but not limited to financial, for any liability, claims, losses, damages or proceedings, including but not limited for death, and including reasonable attorneys’ fees, relating to any actions taken by a Participant, including submission of Entries, or anyone else using a Participant’s email or team password or otherwise purporting to act on Participant’s behalf in regard to the Challenge (whether or not such use occurred with or without your permission). WHAT LAWS GOVERN? This Challenge will be governed by the laws of the State of California, without reference to its conflicts of laws principles. WHAT IF SOMETHING UNEXPECTED HAPPENS? If someone cheats, or a virus, bug, bot, catastrophic event, or any other unforeseen or unexpected action or event affects the fairness and/or integrity of this Challenge, we reserve the right to cancel, change, or suspend this Challenge. This right is reserved whether the event is due to human or technical error. If a solution cannot be found to restore the integrity of the Challenge, we reserve the right, but are not required, to select Research Award Recipient(s) from among all eligible Entries received before we had to cancel, change or suspend the Challenge.
  • 12. If you or your team attempts to compromise the integrity or the legitimate operation of this Challenge, or if we have reason to believe that you or your team have compromised the integrity or the legitimate operation of this Challenge, including by cheating or committing fraud in any way, we may seek damages from you to the fullest extent permitted by law. Further, we may disqualify you, and ban you from participating in any of our future contests and promotions. HOW CAN YOU FIND OUT WHO WON? A full list of all Research Award Recipients will be published on economicgraphchallenge.linkedin.com on or about March 1, 2015. You may also receive a list of Research Award Recipient(s) by sending a self-addressed, stamped envelope to LinkedIn Corporation, Attn: Legal Department, Economic Graph Challenge, Research Award Recipient List Request, 2029 Stierlin Court, Mountain View, CA 94043. Request must be received by July 1, 2015.
